1. Definitions
1.1. In these Terms and Conditions, the following terms are capitalized
the definitions specified therein, where the single term also applies to the
multiple and vice versa:
• Customer: a party to whom Schaafsma Paper Group addresses a Quotation or where Schaafsma
Paper Group enters into an Agreement with it.
• General Terms and Conditions: these general terms and conditions of sale and delivery.
• Tax: taxes and levies imposed or imposed by the government
included in the broadest sense, including — but not limited to — sales tax and
import duties.
• Appendix: appendix with technical specifications as provided by Schaafsma Paper Group
provided.
• BW: Civil Code
• Quote: an oral or written offer from Schaafsma Paper Group addressed to
Customer with regard to the terms and conditions including Schaafsma Paper
Group is willing to enter into an Agreement.
• Order Confirmation: Written confirmation from Schaafsma Paper Group to the Customer
of the terms and conditions under which Schaafsma Paper Group and Customer the
Agreement has been entered into.
• Agreement: the terms and conditions for the (sale) sale and delivery of Goods
as they appear from and are created at the time of dispatch of the
Order Confirmation.
• Price-increasing costs: any (cost) price increase of the Goods, including — but not
limited to - increase in purchase prices, wages, transport costs, Taxes and/or
other charges.
• Schaafsma Paper Group: Schaafsma Paper Group B.V., based in Zaandam and
registered in the trade register of the Chamber of Commerce under number
35020514.
• In writing: in writing or by email.
• Damage: damage that must be reimbursed under article 6:95 of the Dutch Civil Code.
• Affairs: all in production by Schaafsma Paper Group under the Agreement
being and produced goods and/or services.
2. Applicability
2.1. These Terms and Conditions apply to all Offers, Order Confirmations and
Agreements.
2.2. Unless expressly agreed otherwise in writing, only these General Terms and Conditions apply.
Terms and conditions and becomes the applicability of any other general terms and conditions
expressly rejected. Deviations and/or additions to the General Terms and Conditions are
only applicable if this appears from the Order Confirmation.
3. Offers and conclusion of the Agreement
3.1. Offers are free of charge and can be made by Schaafsma Paper Group until the time of
conclusion of the Agreement will be revoked and/or withdrawn without Schaafsma
Paper Group is obliged to negotiate and/or reimburse the Customer
Damage.

The customer has shipped.
3.3. Statements and specifications concerning, among other things, size and weight are only included with
approach provided (see Annex)
3.4. If the Customer is of the opinion that the Order Confirmation does not correctly reflect the
Agreement, Customer must notify Schaafsma Paper Group about this within 48 hours after sending
to inform the Order Confirmation In Writing, failing which the Order Confirmation will be
deemed to reflect the correct content of the Agreement.
4. Prices and security
4.1. All prices do not include Taxes. If Schaafsma Paper Group costs related to the

4.2. Schaafsma Paper Group may incur Price-increasing costs that have arisen after the conclusion of the

4.4. If the Customer's financial position gives reason to do so, Schaafsma Paper Group may
require the Customer to pay in advance and/or provide (additional) security
for its obligations arising from the Agreement, failing which Schaafsma
Paper Group is entitled to suspend delivery of the Goods or to enter into the Agreement
terminate, without prejudice to Schaafsma Paper Group's right to Damage.
5. Payment
5.1. Invoices are paid within 30 days of the invoice date, unless the invoice contains a
different expiry period appears. Payment terms are fatal terms within the meaning of article
6:83 sub a of the Dutch Civil Code. In the event of late payment, the Customer is in default and is over the outstanding amount
statutory commercial interest due.
5.2. If, as a result of the Customer's default, Schaafsma Paper Group has to incur costs up to
maintaining its rights, these costs are entirely borne by the Customer. Such
costs amount to at least 15% of the amount due, with a minimum of EUR 1,200
excluding VAT.
5.3. A payment is first deducted from the costs paid by Schaafsma Paper Group
has had to be related to late payment, then on the interest that appeared and then
on interest due and current.
5.4 In the event of late payment, Schaafsma Paper Group is, without prejudice to the right to compliance and
compensation, entitled without further notice of default or judicial intervention, the
Agreement to be dissolved in writing.
5.5 The Customer is not entitled to suspend and/or set off amounts due.

6.1. The agreed delivery dates are indicative at all times.
6.2. In the event of force majeure, as well as if due to an act or omission - whether or not culpable -
by the Customer or a third party delay has occurred, the delivery time will be extended by at least the
length of delay.
6.3. Delivery takes place ex works (EXW, Incoterms 2010) unless expressly otherwise in writing
agreed.
6.4. From the moment of delivery, the delivered Goods are at the expense and risk of the Customer,
even if ownership has not yet been transferred. The Goods are also at the expense and risk of
Customer if Schaafsma Paper Group has offered them for delivery, but Customer — to
whatever reason — does not decrease. The resulting costs and damage are fully covered.

6.5. If the Customer does not purchase the Goods from Schaafsma Paper Group upon delivery, Schaafsma is
Paper Group entitled to transport, store, store, etc. the Goods at the expense

7. Retention of title
7.1. Schaafsma Paper Group reserves the ownership of all Goods until the Customer does everything
he pays under the Agreement, including but not limited to any interest paid,
has paid costs and Taxes due in full, all as referred to in article
3:92 BW.
7.2. The Goods delivered under retention of title are recognisable as the property of
Schaafsma Paper Group to stay. The Goods must be separated from other matters, or
to be stored in an otherwise individualized way.
7.3. The Customer is not allowed to pledge delivered Goods or to a third party (any other).
to grant the right to do so as long as the ownership has not been transferred to the Customer.
7.4. In the event of (applying for) suspension of payments or bankruptcy by the Customer, then
but if the Customer is bankrupt and/or in the event of non-compliance
under the Agreement on the part of the Customer (for example: non-full payment of the invoice) is

8. Defects
8.1. The Customer is obliged to carefully store the delivered Goods and the packaging upon delivery

could not be detected, as far as they can tell Schaafsma Paper Group
are imputed, repaired at the expense and at the discretion of Schaafsma Paper Group and/or
replaced, provided that these defects and the reason why were not reasonably possible within a
period of three (3) months after delivery have been reported in writing. Transport or other (placement)
costs that are necessary as a result of or related to repair or replacement are for
Customer's account. Rights under this scheme are non-transferable.
Deviations from the standards within the permitted bandwidths set out in the Annex,
under no circumstances will result in a defect and/or shortcoming as referred to in this article.
9. Intellectual Property
9.1. All intellectual and industrial property rights and other rights with respect to by or
offers, calculations, models, artistic made through Schaafsma Paper Group
and technical designs, descriptions and (technical and other) drawings, sketches,
schedules, etc., are entirely owned by Schaafsma Paper Group.
9.2. All offers, images, drawings provided by or via Schaafsma Paper Group,
calculations, diagrams, designs and other documents created or published
remain the inalienable property of Schaafsma Paper Group, and may not be owned by third parties,
in any form, are provided for inspection or made available, without
the prior written consent of Schaafsma Paper Group.
9.3. If a third Customer violates the intellectual and/or industrial property rights of
this third party blames with regard to Goods supplied by Schaafsma Paper Group, then
Schaafsma Paper Group is making efforts to eliminate the conflict with the right of the third party,
for example, by changing the Case and/or obtaining a license. This only applies to matters that
produced and/or put into circulation by Schaafsma Paper Group itself and not on
Customer's specific instructions have been developed. If the Customer wants to make use of this
best efforts obligation, the Customer must immediately submit to Schaafsma Paper Group under penalty of forfeiture
and to notify the violation in writing. Customer leaves Schaafsma Paper Group free
hand in raising a possible defense or reaching an amicable settlement.
Schaafsma Paper Group reserves the right to change Matters to prevent
possible conflict with (intellectual and/or industrial) property rights of third parties.
9.4. If there is an infringement in connection with the manufacture, delivery or use of a Good
created on the intellectual and/or industrial property rights of third parties, indemnifies the Customer
Schaafsma Paper Group fully opposes all claims and claims and their claims
resulting damage and costs from third parties at this point. This indemnification is also from
application to a Good that is in accordance with the instructions or specifications of the Customer
developed and the changes made to an existing Good at the direction of the Customer.
10. Termination
10.1. Schaafsma Paper Group is entitled to all Agreements with the Customer with immediate effect.

may raise concerns about compliance with the obligations under the Agreement by the Customer.
11. Liability
11.1. Schaafsma Paper Group is only liable for Damage suffered by the Customer if the
concerning Damage under the cover of a contract concluded by Schaafsma Paper Group
insurance policy falls and Schaafsma Paper Group's insurer, where appropriate, becomes
payment of the Damage Decision; or, limited to an amount not exceeding the
invoice value of the Good that (partly) caused the Damage.
11.2. Schaafsma Paper Group's liability for indirect Damage, including any
case means losses suffered, loss of turnover and/or profit and/or missed savings, too
excluded at all times.
12. Force majeure
12.1. Schaafsma Paper Group is not liable for Damage as a result of shortcomings that
are the result of circumstances that are not attributable to her, including — but not
limited to — strike, weather conditions, illness, war or natural disasters, overrun
of the delivery time by suppliers of Goods, transport problems due to a shortage
of means of transport or government measures.
13. Joint and several
13.1. If the Customer consists of more than one (1) (legal) person during the execution of the
Agreement, each of these legal entities is jointly and severally bound for the
Obligations arising from the agreement.
14. Provisions that remain in force
14.1. After the termination of the Agreement, regardless of the cause, the provisions of
these General Terms and Conditions and those provisions of the Agreement that are therefore applicable to them
are in nature, in force. In the event that separate provisions for any reason are not
would be valid, the other provisions will remain in full force and the parties will
strive to replace the invalid provisions with a valid provision in the spirit of
the invalid provision.
15. Confidentiality
15.1. The Customer is obliged to maintain the confidentiality of the Agreement and all confidential information
and knowledge that the Customer has acquired under the Agreement, unless disclosure
is necessary for the execution of the Agreement or disclosure is mandatory under
of any legal requirement.
16. Transfer of rights and obligations
16.1. Rights or obligations under the Agreement are only possible with prior Written
permission from Schaafsma Paper Group is transferred to or taken over by a
third.

17.1. All Agreements entered into with Schaafsma Paper Group are governed by
Dutch law. The applicability of the Vienna Sales Convention is expressly excluded.
Any disputes between Schaafsma Paper Group and the Customer will be exclusively

Section 1 Packaging unit
a. A belt contains 500 sheets unless otherwise agreed.

(III) Other types of cardboard covered and/or pasted:
150 g/m2 up to 249 g/m2: + 8%
250 g/m2 and above + 10%
b.6 Creased paper: +- 10%
b.7 If there are special specifications for solid cardboard, cardboard folding boxes and creased paper
exist, while there are no special provisions concerning tolerances between seller and buyer
agreed, the tolerances mentioned under b.5 and b.6 will be increased by 1 point.
If a maximum or minimum grammage is prescribed, the points under b.1 to b.6 are
mentioned tolerances doubled.
c. Thickness tolerance of a delivery
If a certain thickness is required for a specific purpose, between manufacturer and customer,
replacing the grammage tolerance and appropriate thickness tolerance will be
agreed.
For solid cardboard, if the cardboard is ordered in thickness, there is a tolerance within one batch
for all solid board qualities of + 5% of the order value in mm applies.
Section 3 Weight to be invoiced
a. Paper and cardboard (for solid board see art.4.c) in rolls and sheets
a.1 In rolls
All rolls are invoiced by gross weight (weighted weight), which includes paper,
cardboard and conventional packaging paper, spools, plugs and tape iron, excluding any
pallets.3
a.2 In sheets (uncounted)
Paper and cardboard in sheets, uncounted, delivered in packs or pallets are supplied by gross weight
(weighted weight) invoiced, which includes both paper and cardboard as well as the usual

a.3 In sheets (counted)
The packing unit of paper and cardboard in the number of sheets is measured at nominal weight.

multiplied by the area of the number of sheets.
b. Overweight and underweight in supplies of graphic paper and cardboard, other than graphic
solid cardboard
b.1 In the event of both underweight and overweight, the admissible
limits the actual weight calculated, subject to the exceptions listed below.
b.2 If the price per belt or per 1,000 sheets is determined at the time of purchase, the one under article 4.a.3 applies

c. Solid cardboard in rolls and sheets
Both solid board and solid board rolls in sheets are invoiced gross for net. It
invoice weight therefore includes the entire package such as paper, shrink film, coils, plugs, tape iron,
pallets, decks, deck plates, etc. (Subject to the provisions of article 5.I.4.)
Section 4 Permissible gaps in the weight of deliveries
a. Paper and cardboard in formats
The difference between ordered and delivered weight must be determined before delivery
of an order or part of an order with the same delivery time and quality
(fabric composition, color, surface and other properties) and the same size. The allowed
clearances in proportion to the tonnages supplied are as follows:
Graphic paper and cardboard in formats, in the usual standard qualities.
Definition: The usual qualities of a manufacturer include those qualities whose
species,
grammage and size are listed in his price lists, catalogues and other commercial printed matter.
a.1 Graphic paper and board in formats in the standard qualities usual for each manufacturer,

For the usual qualities sold in standard pallets (this concerns pre-packaged)
units, described to the manufacturer as containing a theoretically fixed number of sheets and which
(listed in its catalogues, price lists, etc.), there is no tolerance between the number of orders
and the number of sheets invoiced. The accuracy of the count, i.e. any difference
between the number of invoiced and the number of sheets delivered is covered in article 2.b.4
a.2 Graphic paper and board in formats in the standard qualities usual for each manufacturer

a.6 Solid cardboard in sizes
Determining the difference between ordered and delivered weight, weighed at the time of
manufacturing or packaging, must take place before delivery of an order or part of an order
with the same delivery time and of almost the same quality and size. The
permitted clearances in proportion to the tonnages supplied are as follows:

b. Paper and cardboard in rolls
Due to a multitude of roll sizes, quantitative tolerances cannot become uniform
established. As a result, the seller and buyer will have to set specific tolerances.
However, in case an agreement is not reached, the tolerances will be applied, which are below
a.1 for graphic paper and paperboard, point a.4 for other paperboard, point a.5 for packaging papers
and
other papers and under a.6 for solid board are listed.
Section 5 Dimensions
a. Sheets
a.1 Paper and cardboard (other than those mentioned in a.2 and a.3)
The allowable deviation from the ordered size and the squareness or the ordered width,
amounts to:
1. Uncut paper and cardboard:
a. for the delivered lot 1% up and 1/ 2% down with a minimum of 5
mm in the running or transverse direction
b. between belts and for sheets in one belt 1/ 2% up and down
with a minimum of 3 mm in the running direction
c. for transverse deviation, half of the percentages mentioned in b) apply
with a minimum of 3 mm.
d. the deviation in the perpendicularity of 90 o must not exceed 0.3% of the length of
one of the sides measured perpendicular to it.
2. Cut paper and cardboard with one right angle:
a. for the delivered batch 1/ 2% with a minimum of 2 mm down and 3 mm to
upstairs
b. for belts and sheets each other in one belt 1/ 2% with a minimum of 2 mm to
down and from 3 mm up
c. the deviation in perpendicularity of 90 o for one right angle must not be more than
0.15% with a minimum of 1 mm of the length of one of the sides measured perpendicularly
on it.
3. Trimmed paper and cardboard around:
a. 2 mm upward in both directions
b. for belts and sheets between themselves in one belt, a maximum of 2 mm in both directions
c. the deviation in perpendicularity of 90 o must not exceed 0.15%, with a minimum of
1 mm of the length of one of the sides measured perpendicular to it.6
4. The same deviations apply to oblique sections as under 6.1.d.
a.2 Special-purpose cardboard
1. Dimensions tolerances
The following maximum deviations are allowed for both dimensions of the format:
- cut all around: + 0.4% or +0.8% *)
but at least + 3 mm or +6 mm*)
- with one right angle: + 0.5%, but at least 5 mm.
2. Perpendicularity tolerances
The tolerance for the right angle can be 2% and, however, at least 12 mm, calculated
over the actual length of the sides.
N.B. The tolerances mentioned under 2.1 and 2.2 only apply to formats, including short ones

a.3 Solid cardboard
1. Dimensions tolerances
The tolerances for both dimensions are as follows:
- machine finish: up to 750 mm; max. + 3 mm, up to +0.4% above
- when specifying a maximum size, this is -6 mm or -0.8%
- when specifying a minimum size, this is +6 mm or +0.8%
- cut all around: max. + 3 mm.
2. Perpendicularity tolerances
The tolerance for the squareness of a sheet of cardboard is up to 0.4%, calculated over the
actual length of the sides.
b. Roles
b.1 Width
For rolls with an order width of less than 1.60 m, the width tolerance is +
0.5%, but no more than + 3 mm and at least + 2 mm.
For solid cardboard in rolls with an order width smaller than 1.60 m, the tolerance is for
the width is at most + 3 mm.
If the buyer specifies a maximum or minimum width of the roll,
the above mentioned tolerances doubled. For rolls wider than 1.60 m, the tolerances are
separate agreement arranged.
b.2 Diameter
If the diameter of the rolls is specified in the order and by the seller
accepted, the allowable slack is as follows:
for paper
- without specifying a maximum or minimum diameter: -4 cm and +2 cm
- specifying a minimum diameter: +4 cm
- specifying a maximum diameter: -8 cm
- Special agreements can be made for Konsum species.
for cardboard
- without specifying a maximum or minimum diameter + 6 cm
- specifying a minimum diameter: +12 cm
- specifying a maximum diameter: -12 cm
Rest rolls must be accepted by the purchaser. 7

Wood-free graphic paper may contain a maximum of 10% wood sharps.

c. Rejection border envelopes
b.1 The above mentioned deviations are not a reason for rejection. When assessing whether a party is outside
if the mentioned limits deviate, an average sample must be taken from the delivery,
the size of approximately one square root of the number of units and therefore cannot be
rejected on a few packages, if not on a few copies.
b.2 The window edge relative to the side of the envelope should be measured at least on the left or right
to be 8 mm while maintaining the above tolerance, unless for certain machines
other dimensions should reasonably be used, either as prescribed by the
machine supplier, or on the basis of generally recognized practical experience.
b.3 Especially with the different sizes and smaller quantities - especially when these are `handmade”
should be created - should be taken into account with a wider margin of play
held.
d. Deviation in the quantity of envelopes ordered
For orders of envelopes, not belonging to the warehouse types or requiring extra paper
must be purchased, the supplier is allowed a maximum of 15% above or below the
amount purchased to deviate.
e. Quality differences in envelopes
Minor deviations in the color of the paper and font and/or color when printing do not give any rights
to advertising.
f. Anomalies ordered quantum envelopes
With regard to the ordered quantity, the following deviations are allowed per format:
20% for batches of less than 1,000 pieces
15% for lots of 1,000 to 5,000 pieces
10% for lots of more than 5,000 pieces
Section 8: Deliveries & boxes
Box dimensions:
a. Boxes are internally measured and the dimensions are listed in the order:
length - width - height.
b. In the case of subdivisions, the number of cells is listed in the order: number of layers, number along the
length
and then number along the width of the box.9
c. In the case of plates, the first mentioned dimension is parallel to the directions of the wave; under the direction of
the
wave is understood to mean the direction of one wave ridge or valley.
d. Dimensions allow a deviation of up to + or - 5 mm in each direction, everything unless
otherwise agreed in writing.
e. Regardless of the bottom
f. stated, the interior must be smaller than the internal size of the
box.
Section 9: Supplies of plastic packaging
a. Slight deviations in color, size, weight and printing can never be a reason for advertising
shapes.
b. The difference between the agreed material thickness and the actual thickness of the
supplied
material may be 10% but at least 0.01 mm without this giving rise to advertisements
amounts.
Difference between the agreed length or width of the goods and the actual length

the breadth of the delivered goods can never give rise to a complaint, unless the difference
is more than 5%.
Deviation from the agreed thickness, length or width of the delivered goods must
to be assessed on the basis of a typical copy of the delivered goods and not
on the basis of a few exceptional specimens.
c. We expressly declare that we do not accept liability for any consequential damage. Ten
overabundance, it is therefore noted that liability will never be accepted for the
influence that our article may have on the quality of the packaged product.
d. Discoloration, moisture, greasing or odour development of goods supplied by us
which
the result of the product that is packaged in our goods does not give grounds for any advertising.
e. Ordered quantities are delivered where possible. We reserve the right to get 10% more

Section 10 Research methods
The most recent NED or ISO standards apply to the methods of research to be applied.
If no standards are present, the method of investigation to be applied must be applied in advance
agreed.
The NED and ISO standards are currently as follows:
a. Sampling: NED 1763 method A or ISO 186
b. Sample conditioning: NED 1108 or ISO 187. Applicable on a case-by-case basis
conditioning for the test, in accordance with the standard, must be pre-tested
agreed.
Conditioning of paper samples for the corrugated cardboard industry, such as test liners, corrugated paper
(Wool dust) and grey paper (Schrenz) will be made at 23% or 50% r.v.
c. Determining sample size and number of samples
1 The method of determining the sample size should be regulated in advance.
2 As far as their number is concerned, the samples taken must at least comply with the standard
ISO R 186 or NED 1783 method A.
d. Determining weight per m2: NED 1109 or ISO 53610
e. Thickness measurement: NED 1110 or ISO R 438
f. Dimensions and perpendicularity
The following measurement methods can be used:
1. Measuring devices
Measuring table: a sturdy table covered with metal, plastic or glass. Firmly on this
bolted, both horizontally and vertically, a steel measuring ruler (from
sufficient length) with a scale of 0.5 mm.

- The angle is greater than 90 o. Deviation can be read on the horizontal ruler.
To check the remaining three corners, rotate the sheet clockwise.
Results
Format deviation:
Always indicate the most different values of the long and short sides.
Deviation from the squareness:
Indicate all four anomalies. For the assessment, the most different
value taken into account.
Paragraph 11 Other
a. Normal distribution of measured values
All tolerances mentioned in these General Terms and Conditions are considered to have been met if
95% of the measured values in the batch remain within the prescribed tolerances. On the other hand,
for 4.5% of the measured value units, there is no deviation greater than 1.5 times the
tolerance value.
Of the total number of measurements, a maximum of 0.5% of this limit of 1.5 times the
exceed the tolerance value.
b. For all technical features for which no tolerances are mentioned in the above,
applies,
that minor deviations cannot be a cause for disputes, insofar as the delivered goods
are suitable for the use for which they were ordered.
c. The wavy lying of paper and cardboard is not considered a shortcoming.
d. The buyer of creation parties is obliged, up to a maximum of 10% of the ordered
quantity,
to accept paper or cardboard that has minor differences from the one ordered
